RIGHTS AND LIABILITIES(责任与义务):
1.The Buyer shall have the deposit reach the seller within 7 days since this contract is signed and the balance paid before delivery,
failing which the Seller reserves the right to rescind without further notice, or to regard as still valid whole or any part of this contract not fulfilled by the Buyer,
or to lodge a claim for losses thus sustained, if any.
买方须在合同签订后7日内将定金付给卖方并且在发货之前将余款付清，买方若不履行，卖方有权撤销合同，或认为合同的全部或部分仍将有效;如有必要，卖方将会向买方就所遭受的损失提出赔偿要求。
2.The above-mentioned paper toilet seat covers shall be manufactured in compliance with the samples that the Buyer had confirmed.
In case of any discrepancy in Quality/Quantity, claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination.
上述马桶坐垫纸将会按照买方最终确认的样品生产。
如果有质量/数量方面的差错，买方应在货到目的港30日之内提出异议。
3.For transactions concluded on FOB basis, it is understood that the insurance and the fees that occurred beyond inland transportation and the procedure of exportation shall be covered by the buyer.
双方按照FOB条件达成交易，即除陆运费及出口相关费用之外的如保险费等其他所有费用全部由买方承担。
4.The Seller shall not be hold liable for non-delivery or delay in delivery of the entire lot or a portion of the goods hereunder by reason of natural disasters,
war or other causes of Force majeure, however, the Seller shall notify the Buyer as soon as possible and furnish the buyer within
30 days by registered airmail with a certificate issued by the China Council for the Promotion of International Trade attesting such event(s).
如因自然灾害、战争或其他人力不可抗拒的原因造成全部或部分货物运输的延误或无法运输的，卖方将不承担任何责任。
然而，卖方将会尽快通知买方并且在30日之内向买方提供由中国国际贸易促进委员会出具的事故证明。
5.All disputes arising out of the performance of, or relating to this contract, shall be settled through negotiation.
In case no settlement can be reached through negotiation, the case shall then be submitted
to the China International Economic and Trade Arbitration Commission for Arbitration in accordance with its arbitral rules.
The arbitration shall take place in Qingdao, China. The arbitral award is final and binding upon both parties.
The fees for arbitration shall be borne by the losing party unless otherwise awarded.
一切因执行本合同所发生或与本合同有关之争议，双方应友好协商解决。
如双方不能协商解决时，此争议应提交中国国际贸易促进委员会仲裁委员会，按照该仲裁委员会仲裁条款进行仲裁。
仲裁地点在青岛。
仲裁委员会的裁决为最终裁决，对双方均有约束力。
仲裁费用除非仲裁会另有决定外，均由败诉一方承担。
6.The Buyer is requested to sign and return on copy of this contract immediately after receipt of the same.
If any, should be raised by the Buyer within 3 working days, otherwise it is understood that the Buyer has accepted the terms and conditions of this contract.
买方须在收到本合同后签名并回传。
如有异议，应在三个工作日之内提出，否则视买方接受本合同所规定的所有条款。

外贸购货合同范本【2】
________(售方)为一方，与_________(购方)为另一方，签定合同如下：
第一条 合同对象
依据_________年_________月_________日双方签定的关于合作的协议，在售方国国境车上交货条件下售方售出，购方购入货物。
其数量、种类、价格及交货期均按第_________号附件办理，该附件为本合同不可分割的.部分。
合同总金额为_________。
第二条 价格
本合同所售出货物的价格以_________计算，此项价格系卖方国国境车上交货，包括包皮、包装和标记费在内。
第三条 品质
按本合同所售出货物的品质应符合中华人民共和国国家标准或_________，并符合本合同附件所规定的技术条件;凭样交货的商品品质应符合双方所确认的样品。
商品质量应以售方国国家商品检验局出具的品质证明书证明之。
第四条 供货期
售方应在本合同附件规定的期限内发货。
在征得购方同意的情况下，售方有权按双方商妥的数量和金额提前交货。
第五条 标记
每个货箱均应用防水颜料在箱体的三面(上面，前面和左面)用英、_________(国)两种文字书写以下标记：合同号，收货人，箱号，毛重，净重。
第六条 支付
本合同所供应的货物之价款，由购方按照中国银行和_________银行关于_________规定的办法及_________以_________凭下列单据向售方支付：1.帐单4份;2.盖有售方国发站印章的铁路运单副本1份;3.明细单3份;;4.品质证明书1份。
第七条 保证和索赔
卖方在提供的商品投入使用之后12个月内保证商品质量，但不超过供货之日起18个月。
